Terms of Service for SmartChat AI Assistant

1. Scope of License

MQL Development Ltd ("Licensor") grants you a nontransferable, nonexclusive license to use SmartChat AI Assistant (the "Licensed Application") on Apple-branded devices that you own or control, as permitted by Apple's Usage Rules in the App Store Terms of Service.

You may not distribute, transfer, sublicense, or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not copy (except as permitted by this license and Apple's Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof, except as expressly permitted by applicable law.

2. Subscriptions

SmartChat AI Assistant offers subscription-based services ("Subscriptions") that provide additional features and functionality.

• Billing Cycles: Subscriptions are available on weekly, monthly, and yearly billing cycles.
• Payment: Payment is charged to your Apple App Store account upon purchase confirmation.
• Auto-Renewal: Subscriptions automatically renew unless you disable auto-renew at least 24 hours before the current billing period ends.
• Cancellation: You can manage and cancel your subscription through your Apple App Store account settings.
• Refunds: Refunds are handled directly by Apple in accordance with App Store policies. We do not issue refunds ourselves.

3. Consent to Use of Data

You agree that Licensor may collect and use limited technical and usage data, in a form that does not personally identify you, to facilitate software updates, improve services, and provide support. For more details, please see our Privacy Policy.

4. Termination

This License remains effective until terminated by you or MQL Development Ltd. Your rights will automatically terminate without notice if you fail to comply with any term(s) of this License. Upon termination, you must stop using the Licensed Application and delete all copies.

5. External Services

The Licensed Application may enable access to external services provided by third parties, including:

• Apple: For subscription management and payments (Apple Privacy Policy).
• OpenAI: For AI-powered chat processing (OpenAI Privacy Policy).

You agree to use these External Services at your own risk. Licensor is not responsible for examining or evaluating the content, accuracy, or availability of any third-party External Services.

6. No Warranty

You expressly acknowledge and agree that use of the Licensed Application is at your sole risk. To the maximum extent permitted by law, the Licensed Application and any services provided through it are offered "as is" and "as available," with all faults and without warranty of any kind, either express or implied.

Licensor disclaims all warranties and conditions with respect to the Licensed Application and services, including implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights.

7. Limitation of Liability

To the extent not prohibited by law, MQL Development Ltd shall not be liable for personal injury or any incidental, special, indirect, or consequential damages, including loss of profits, loss of data, or business interruption, arising out of or related to your use or inability to use the Licensed Application.

In no event shall Licensor's total liability exceed fifty U.S. dollars ($50.00).

8. Export Compliance

You may not use or otherwise export or re-export the Licensed Application except as authorized by the laws of the United Kingdom, United States, and the jurisdiction where the Licensed Application was obtained. By using the Licensed Application, you represent and warrant that you are not located in a country subject to embargo or on a government restricted list.

9. Commercial Items

If you are a U.S. Government end user, the Licensed Application is provided as a "Commercial Item" with only those rights as are granted to other end users under this License.

10. Governing Law and Jurisdiction

This Agreement is governed by and construed under the laws of England and Wales, without regard to conflict of law principles.

If you are a resident of the European Union, Switzerland, Norway, or Iceland, mandatory consumer protection laws of your country of residence will also apply.

11. Privacy Policy Reference

Your use of the Licensed Application is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

12. Updates

From time to time, the Licensed Application may be updated to improve features, fix bugs, or enhance performance. By using the app, you consent to receiving such updates automatically or manually via the App Store.

13. Changes to Terms

We reserve the right to update or modify these Terms of Service at any time. Any changes will be posted within the app or on our website. Continued use of the Licensed Application after changes take effect constitutes your agreement to the revised terms.
